By accessing the Empire Digital platform or using any of our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These terms apply to all users including clients, team members, and visitors. You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the platform.
Empire Digital provides AI-powered marketing automation, sales CRM, campaign management, lead generation, content scheduling, and analytics services. Our platform enables businesses to manage contacts, run email and social media campaigns, track deals through sales pipelines, schedule posts across Meta, LinkedIn, and other platforms, and gain insights from performance data. Service availability and features may vary based on your subscription plan.
You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and complete information during registration. You may not share your account with third parties or use another person's account without authorization. You must promptly notify us of any unauthorized use of your account. We may verify the business you register on behalf of and may suspend accounts that cannot be verified.
You agree not to use our services to send unsolicited communications (spam), harvest or collect personal data without consent, transmit malware or malicious code, impersonate any person or entity, infringe the rights of others, reverse engineer or attempt to derive the source code of the platform, circumvent rate limits or technical controls, or violate any applicable laws or regulations. You must comply with all applicable anti-spam legislation including CAN-SPAM, CASL, India's DPDP Act, and GDPR when using our email and campaign tools. You are responsible for obtaining proper consent from contacts before contacting them through our platform.
You retain ownership of the data you upload to Empire Digital, including contact lists, campaign creative, written content, images, and analytics inputs (collectively, "Your Content"). By uploading Your Content, you grant Empire Digital a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify (for technical purposes such as formatting and resizing), transmit, and display Your Content solely to operate the services on your behalf. The licence ends when you delete Your Content or close your account, except for backup copies retained for a limited period and for content that has been shared with collaborators or third parties at your direction.
Empire Digital includes AI-assisted features such as email copywriting, audience suggestions, content drafting, and lead-scoring. AI outputs are generated by large language models and are provided as suggestions only. They may be inaccurate, biased, outdated, or inappropriate for your context. You are solely responsible for reviewing AI-generated content before publishing, sending, or otherwise relying on it. You must not represent AI-generated content as having been produced exclusively by a human when doing so would mislead recipients. Empire Digital makes no warranty of fitness or accuracy with respect to AI outputs.
When you use Empire Digital to send email, SMS, WhatsApp, or social media messages, you remain the sender of record for legal and compliance purposes. You are responsible for: maintaining a lawful basis for processing recipients' contact details, honouring opt-outs and unsubscribe requests promptly, complying with the platform terms of any third-party channels you connect (Meta, LinkedIn, Google, Twilio, etc.), and providing accurate sender identification in all messages. Empire Digital may suspend campaigns or accounts that generate significant spam complaints, abuse reports, or that violate connected-channel terms.
All software, text, graphics, logos, designs, and AI models on this platform that are not Your Content are the property of Empire Digital or its licensors and are protected by applicable intellectual property laws. You receive a limited, non-transferable, non-exclusive licence to use the platform solely as described in these terms. You may not reproduce, distribute, modify, or create derivative works from the platform itself without our prior written consent. Feedback you provide may be used by us without restriction or compensation.
Subscription fees, usage fees, and any one-time charges are billed in advance on the schedule shown in your plan or order form. Fees are non-refundable except where required by law or expressly stated in your order form. If you cancel a paid subscription mid-cycle you retain access until the end of the paid period; we do not pro-rate refunds. We may change pricing on renewal with at least 30 days' written notice. Late payments may result in suspension of access until paid.
The platform integrates with third-party services (Meta, LinkedIn, Google, Stripe, etc.) under each vendor's own terms. We are not responsible for the availability, accuracy, or behaviour of third-party services. If a third-party service changes its terms or APIs we may need to disable or modify the affected integration.
To the maximum extent permitted by law, Empire Digital shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of our services, including but not limited to loss of revenue, profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages. Our total aggregate liability for any claim shall not exceed the fees paid by you to Empire Digital in the 3 months preceding the event giving rise to the claim. We do not guarantee specific marketing results, campaign performance, deliverability rates, or conversion rates.
You agree to defend, indemnify, and hold harmless Empire Digital, its affiliates, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from: Your Content; your use of the services; your violation of these terms; your violation of any applicable law (including data protection and anti-spam laws); or your infringement of any third-party right. We will notify you of any claim subject to this clause and give you reasonable cooperation in defending it.
Either party may terminate the agreement at any time with notice. We may suspend or terminate your access if you violate these terms, engage in fraudulent activity, fail to pay applicable fees, or if required by law. Upon termination, your right to use the platform ceases immediately. We will retain Your Content for 30 days after termination during which you may request export; after that period Your Content may be permanently deleted. Sections of these terms that by their nature should survive termination will survive, including ownership, limitations of liability, indemnification, and dispute resolution.
These terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-laws principles. The legal entity operating Empire Digital and the exact jurisdiction are confirmed separately in your order form or master services agreement.
The parties will first attempt to resolve any dispute informally by good-faith negotiation. If the dispute is not resolved within 30 days of written notice, it shall be referred to and finally resolved by arbitration administered under the rules of the Dubai International Arbitration Centre (DIAC), seated in Dubai, conducted in English, by a single arbitrator. Either party may seek interim or injunctive relief in any court of competent jurisdiction. Nothing in this clause restricts your right to bring a claim before a relevant data protection authority.
We reserve the right to modify these terms at any time. We will notify registered users of material changes via email at least 14 days before they take effect, except for changes required for legal or security reasons which may take effect immediately. The version that applies to your use is the one in force when you used the services. Continued use after changes constitutes acceptance.
